Welcome to Paygent.ai. These Terms of Service (“Terms”) govern your access to and use of the Paygent.ai website, platform, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. About Paygent.ai

Paygent.ai provides software tools designed to help small business owners better understand payment processing fees through analytics, insights, and educational content.

Important: Paygent.ai is not a payment processor, does not move funds, and does not execute transactions on your behalf. We do not provide legal, accounting, or financial advice.

2. Eligibility and Account Registration

You must be at least 18 years old and located in the United States to use the Services. When creating an account, you agree to:

  • Provide accurate and complete information
  • Keep your account credentials secure
  • Notify us promptly of any unauthorized access

You are responsible for all activity that occurs under your account.

3. Use of the Services

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Upload information you do not have the right to share
  • Attempt to access or interfere with our systems
  • Reverse engineer, copy, or misuse the Services
  • Use the Services in a way that could harm Paygent.ai or others

We reserve the right to suspend or terminate access if these Terms are violated.

4. Uploaded Data and Analysis

When you upload payment processing statements or other materials, you represent that:

  • You have the authority to share the information
  • The information is accurate to the best of your knowledge

Paygent.ai will analyze uploaded data to generate insights, reports, and recommendations. These outputs are informational only and are intended to support your decision-making — not replace professional judgment.

5. No Financial Advice or Guarantees

All insights, recommendations, and analyses provided by Paygent.ai are:

  • For informational and educational purposes only
  • Based on the data provided and available methodologies
  • Not guarantees of savings, performance, or outcomes

You remain solely responsible for:

  • Decisions you make based on the information provided
  • Any changes you choose to make to payment providers or configuration
6. Third-Party Providers and Referrals

The Services may include links to third-party websites or allow you to request introductions to payment providers.

  • Clicking an outbound link does not share your personal data
  • If you request an introduction, you authorize us to share the business profile information you selected
  • Audit data is never shared with third parties

Paygent.ai does not control third-party services and is not responsible for their actions, terms, or performance.

7. Intellectual Property

All content, software, designs, trademarks, and materials provided through the Services are owned by or licensed to Paygent.ai and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes. You may not copy, distribute, modify, or create derivative works without our prior written consent.

8. Data Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the Services, you agree to the practices described there.

9. Suspension and Termination

We may suspend or terminate your access to the Services at any time if:

  • You violate these Terms
  • Your use poses a security or legal risk
  • We discontinue the Services

You may stop using the Services at any time. Termination does not limit rights or obligations that by their nature should survive.

10. Disclaimer of Warranties

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Paygent.ai disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, uninterrupted, or meet your specific expectations.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Paygent.ai shall not be liable for indirect, incidental, special, or consequential damages
  • Our total liability for any claim relating to the Services shall not exceed the amount you paid to us in the twelve (12) months prior to the claim (or $100 if no fees were paid)

This limitation applies even if we have been advised of the possibility of damages.

12. Indemnification

You agree to indemnify and hold harmless Paygent.ai from any claims, damages, or expenses arising from:

  • Your use of the Services
  • Your uploaded data
  • Your violation of these Terms or applicable laws
13. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. If material changes are made, we will notify you through the Services or by email. Continued use of the Services constitutes acceptance of the updated Terms.
